Terms of Service
↓ Download PDFThese Terms of Service ("Terms") govern your access to and use of the PULSE4ED platform, including Principal PULSE, PLC Pulse, and the PULSE4ED marketing website at pulse4ed.com (collectively, the "Platform"), operated by PULSE4ED, LLC ("PULSE4ED," "we," "our," or "us").
By creating an account, accessing, or using the Platform, you ("User") agree to be bound by these Terms. If you are accessing the Platform on behalf of a school, district, or organization ("School Partner"), you represent that you have authority to bind that entity and that the entity agrees to these Terms. If you do not agree, do not access or use the Platform.
1. Eligibility & Account Registration
Age requirement. The Platform is intended for use by adults (18 years or older) in professional educational settings. By creating an account, you represent that you are at least 18 years old. The Platform is not directed to students.
Account information. You agree to provide accurate, current, and complete information when registering and to keep your account information up to date. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at security@pulse4ed.com if you suspect unauthorized access to your account.
One account per person. You may not create multiple accounts for deceptive purposes, share account credentials with others, or transfer your account to another person without our written consent.
2. Description of Services
PULSE4ED provides the following products as part of the Platform:
- Principal PULSE — An AI-powered instructional coaching and observation platform for principals and instructional coaches. Features include classroom observation logging, audio recording and transcription, AI-generated PULSE Method™ coaching feedback, coaching script generation, follow-up email drafting, teacher development tier tracking, Look-For management, coach self-reflection tools, and Google/Outlook Calendar integration.
- PLC Pulse — A Professional Learning Community (PLC) oversight and tracking platform for school leadership teams. Features include SMART goal tracking, meeting documentation, attendance management, structured PULSE progress reports, admin visit scheduling, data upload and analysis, consent management, and (in a future release) AI-powered meeting transcription and summarization.
- pulse4ed.com — Our marketing and informational website, available to the general public.
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with reasonable advance notice where practicable. We will not be liable for any modification, suspension, or discontinuation of the Platform.
3. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Platform in any way that violates applicable federal, state, local, or international law or regulation, including FERPA, COPPA, or applicable state education privacy laws.
- Upload, transmit, or share any content that is unlawful, harmful, defamatory, obscene, or invasive of another person’s privacy.
- Attempt to gain unauthorized access to any portion or feature of the Platform, or to any other systems or networks connected to the Platform.
- Use the Platform to collect, harvest, or process personal information about students under 13 in violation of COPPA, or to collect personal information about any individual without the appropriate consent or legal basis.
- Upload audio recordings, photos, or student work samples without the appropriate consent from the individuals recorded or depicted, or without authorization from the applicable School Partner.
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of any part of the Platform.
- Circumvent, disable, or otherwise interfere with security features of the Platform.
- Introduce any viruses, malware, or other malicious code into the Platform.
- Use automated scripts, bots, scrapers, or crawlers to access or interact with the Platform without our written consent.
- Impersonate any person or entity or falsely represent your affiliation with a school or district.
- Use the Platform to harass, bully, or retaliate against any teacher, student, or other individual.
4. AI-Powered Features
General. The Platform incorporates AI-powered features, including coaching transcript analysis, script generation, email drafting, audio transcription via OpenAI Whisper, meeting summarization via GPT-4o-mini, and Look-For generation. These features are designed to assist and augment professional judgment — not to replace it.
No professional advice. AI-generated coaching scripts, feedback, and summaries are tools to support educator decision-making. They do not constitute legal, psychological, therapeutic, or other professional advice. You are solely responsible for reviewing, editing, and deciding whether to act on any AI-generated output before sharing it with teachers, staff, or students.
Accuracy not guaranteed. AI-generated content may contain errors, omissions, or inaccuracies. Transcripts may not perfectly reflect spoken content. You acknowledge that AI systems are imperfect and agree not to rely on AI outputs without appropriate human review.
Data sent to AI providers. By using AI features, you consent to the transmission of relevant data (transcripts, teacher context, meeting notes, audio files) to our AI service providers (currently OpenAI) as described in our Privacy Policy. You represent that you have obtained all necessary consents and authorizations for any recordings, transcripts, or personal data you submit to AI features.
Student data. Do not include student names, student ID numbers, Social Security numbers, or other individually identifying student information in free-text fields submitted to AI features. Aggregate academic performance data (e.g., "67% of students scored below grade level") is acceptable. Specific student-identifying information is not.
5. School Partner Responsibilities
If you are accessing the Platform as a School Partner (a school, district, charter network, or other educational organization), you agree to:
- FERPA compliance. Obtain and maintain all required authorizations, consents, and policies necessary to use the Platform in compliance with FERPA. You acknowledge that PULSE4ED acts as a "school official with a legitimate educational interest" only to the extent directed by you.
- Recording consent. Obtain all required consents from educators, coaches, and any other individuals before using audio recording features. Comply with all applicable state wiretapping, eavesdropping, and recording consent laws. You are solely responsible for the legality of recordings made through the Platform.
- COPPA compliance. Ensure that your use of the Platform complies with COPPA. The Platform is not designed to collect information directly from students; however, if student work samples or data are uploaded, you are responsible for ensuring the appropriate parental consents are in place.
- Administrator responsibilities. Campus administrators are responsible for managing user access within their instance, setting appropriate recording and retention policies, and ensuring that the Platform is used in accordance with district policies and applicable law.
- Authorized users. Ensure that only authorized personnel have access to your School Partner account and that users within your instance comply with these Terms.
6. Intellectual Property
PULSE4ED IP. The Platform, including all software, design, text, graphics, logos, the PULSE Method™ framework, and associated intellectual property, is owned by PULSE4ED, LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.
PULSE Method™. The PULSE Method™ (Praise, Unpack Data, Listen & Learn, Suggest, Encourage) is a proprietary instructional coaching framework of PULSE4ED, LLC. Use of the PULSE Method™ name, framework, or scoring system outside of the Platform requires a separate written license.
Feedback. If you submit suggestions, feature requests, or other feedback about the Platform, you grant PULSE4ED a non-exclusive, worldwide, royalty-free license to use, reproduce, and incorporate your feedback into the Platform or related products without compensation to you.
7. User Content & Data
Your content. You retain ownership of all content you upload or create on the Platform — including observation notes, coaching records, SMART goals, meeting notes, audio recordings, uploaded files, and custom Look-Fors ("User Content").
License to us. By uploading or creating User Content, you grant PULSE4ED a limited, non-exclusive license to use, store, process, and display your User Content solely as necessary to provide the Platform services to you. We do not claim ownership of your User Content.
Your responsibility. You are solely responsible for the accuracy, legality, and appropriateness of all User Content you upload. You represent that you have all necessary rights to upload the content and that doing so does not violate any third-party rights.
AI-generated output. Coaching scripts, summaries, emails, and other content generated by AI features based on your inputs are provided to you for your use. PULSE4ED makes no warranty as to the accuracy, completeness, or fitness for purpose of AI-generated content.
8. Payment & Subscriptions
Free trials. We currently offer free trial access to the Platform. Trial terms (duration, features included) are as specified at the time of sign-up. We reserve the right to modify trial terms at any time.
Paid subscriptions (future). When paid subscriptions are activated, billing will be handled by Stripe. Subscription fees, billing cycles, and cancellation terms will be presented to you before you subscribe. All fees are non-refundable except as required by law or as expressly stated in a written agreement.
School Partner agreements. Schools and districts may have separate written agreements with PULSE4ED governing pricing and payment. In the event of a conflict between these Terms and a written School Partner agreement, the written agreement controls for payment-related matters.
9. Privacy & Data Protection
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you agree to the collection, use, and disclosure of your information as described in the Privacy Policy.
School Partners who require a formal Data Processing Agreement (DPA) or School Partner Agreement governing FERPA obligations, sub-processor lists, and data security commitments may request one at privacy@pulse4ed.com. Our standard Data Processing Agreement is also available online.
10. Third-Party Services & Integrations
The Platform integrates with or links to third-party services including Google Calendar, Microsoft Outlook, OpenAI, AWS, and (in the future) Stripe. Your use of these third-party services is governed by their own terms of service and privacy policies. PULSE4ED is not responsible for the practices of third-party services.
If you connect a third-party service (such as Google or Outlook Calendar), you authorize PULSE4ED to access and interact with that service on your behalf as described in our Privacy Policy. You may disconnect integrations at any time via your account Settings.
11. Disclaimers & Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PULSE4ED DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.
We do not warrant that (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) the results obtained from using the Platform will be accurate or reliable; (c) AI-generated coaching content, transcripts, or summaries will be accurate, complete, or appropriate for any specific situation; or (d) any errors in the Platform will be corrected.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or personal injury caused by negligence.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PULSE4ED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PULSE4ED’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PULSE4ED IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow exclusion of certain warranties or limitations of liability, so the above may not apply to you in full.
13. Indemnification
You agree to defend, indemnify, and hold harmless PULSE4ED, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney’s fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, including FERPA, COPPA, or recording consent laws; (d) User Content you upload or transmit; or (e) your infringement of any third-party right.
14. Termination
By you. You may stop using the Platform and request account deletion at any time by contacting us at privacy@pulse4ed.com.
By us. We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, applicable law, or is otherwise harmful to PULSE4ED, other users, or third parties. We will use reasonable efforts to provide advance notice for terminations unrelated to misconduct.
Effect of termination. Upon termination, your right to access the Platform ceases immediately. Sections 6, 11, 12, 13, 15, and any other provisions that by their nature should survive, will survive termination of these Terms. Data deletion following account termination is governed by our Privacy Policy.
15. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas for any disputes arising from or relating to these Terms or the Platform.
Informal resolution. Before filing any formal claim, you agree to contact us at legal@pulse4ed.com and provide a written description of the dispute. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved informally, either party may pursue formal legal remedies.
Class action waiver. To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against PULSE4ED.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, for registered users, provide notice via email or in-app notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
